End User License Agreement (EULA)

IMPORTANT: Please read this End User License Agreement carefully before using the Findell application. By downloading, installing, or using Findell, you agree to be bound by this Agreement. If you do not agree, do not use the application.

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User" or "you") and WayBetter Technologies LLC ("Licensor," "we," "us," or "our") for the use of the Findell mobile application ("Application" or "App").

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the Application on mobile devices you own or control.
Use the Application for your personal, non-commercial purposes.

This license does not allow you to use the Application on any device you do not own or control, and you may not distribute or make the Application available over a network where it could be used by multiple devices at the same time.

2. License Restrictions

You agree NOT to:

Copy, modify, or distribute the Application or any portion thereof.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application.
Rent, lease, lend, sell, sublicense, or transfer the Application to any third party.
Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Application.
Use the Application for any purpose that is illegal or prohibited by this Agreement.
Use the Application in any manner that could damage, disable, overburden, or impair our servers or networks.

3. Intellectual Property

The Application, including all content, features, functionality, code, design, graphics, logos, and AI-generated content (including Vera, Rex, and Nova coaches), is owned by WayBetter Technologies LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

This Agreement does not grant you any rights to our trademarks, service marks, or logos. "Findell," the Findell logo, "Vera," "Rex," "Nova," and related names are trademarks of WayBetter Technologies LLC.

4. User Data and Privacy

Your use of the Application is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Application, you consent to the collection and use of your information as described in the Privacy Policy.

5. Third-Party Services

The Application integrates with third-party services including:

Plaid Inc.: For bank account connectivity. Your use of Plaid is subject to Plaid's End User Privacy Policy.
Apple App Store / Google Play Store: For distribution and in-app purchases. Subject to their respective terms.

We are not responsible for the practices or content of third-party services.

6. Subscription and In-App Purchases

The Application offers subscription plans (Pro and Premium) with additional features.
Subscriptions are processed through Apple App Store or Google Play Store.
Subscription terms, pricing, and cancellation policies are governed by the respective app store's terms.
You are responsible for all charges incurred under your account.

7. Updates and Modifications

We may release updates, patches, or new versions of the Application from time to time.
Updates may be required for continued use and may be downloaded and installed automatically.
We reserve the right to modify, suspend, or discontinue any aspect of the Application at any time.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR COMPLETENESS OF INFORMATION

WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

FINANCIAL DISCLAIMER: The Application provides educational content and general financial information only. It does not constitute financial, investment, tax, or legal advice. Consult qualified professionals for your specific situation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

WAYBETTER TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR FINANCIAL DECISIONS MADE BASED ON INFORMATION PROVIDED BY THE APPLICATION.

10. Indemnification

You agree to indemnify, defend, and hold harmless WayBetter Technologies LLC, its officers, directors, employees, agents, and affiliates from any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

Your use of the Application
Your violation of this Agreement
Your violation of any third-party rights
Your violation of any applicable laws

11. Termination

This Agreement is effective until terminated by you or us.
You may terminate by deleting the Application and all copies from your devices.
We may terminate this Agreement immediately if you breach any provision.
Upon termination, you must cease all use of the Application and destroy all copies.
Sections 3, 8, 9, 10, 12, and 13 shall survive termination.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. General Provisions

Entire Agreement: This Agreement, together with the Privacy Policy and Terms of Service, constitutes the entire agreement between you and us regarding the Application.
Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision.
Assignment: You may not assign this Agreement. We may assign our rights and obligations without restriction.

15. Acknowledgment

BY DOWNLOADING, INSTALLING, OR USING THE FINDELL APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
